STEELSCRAP

FERROTRADES will be one of the the main supplier of steel scrap to Turkey, European and Asian steelworks and foundries in the closest time. This steel scrap is sold as so-called secondary raw material and without any quality losses to steelworks and foundries and therefore recycled. They produce a new final product from it, steel or cast steel. Therefore the recycling industry makes an important contribution to conservation of the world’s resources. Recycling is applied environmental protection! Every day FERROTRADES organises various grades of scrap from traders and suppliers all over Europe, America and CIS. The defined grades are produced in our world wide known patner companies facilities using standard sorting methods and processing equipment such as shredders, shears, presses and mills. The products are categorised into standard grades and sold to the steelworks and foundries as required. They are transported by truck, train and ship.

SALES TERMS AND CONDITIONS

1. Shipments shall at all times be subject to the approval of Seller’s Credit Department.

2. Any taxes which Seller may be required to collect and remit, under any existing or future law, upon or with respect to the sale, purchase, delivery, storage, processing, use, consumption or transportation of any of the materials covered hereby, shall be for the account of Buyer who shall promptly pay the amount thereof to Seller upon demand.

3. Seller reserves the right to select the means of transportation and routing and to ship loads of any quantity without charge to Seller. Charges for spotting, switching, handling, storage, other accessorial services and demurrage shall be for Buyer’s account. Carriers are responsible for materials lost or damaged in transit and Buyer should immediately give written notice of any such loss or damage to the carrier.

4. Seller makes no representation as to the quality, composition, merchantability, mechanical properties, variations in tolerances, or defects that might be encountered and Seller cannot be held responsible for imperfections discovered by the Buyer. ALL WARRANTIES, WRITTEN OR VERBAL, EXPRESS OR IMPLIED (INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE) ARE HEREBY EXCLUDED.

5. Claims, including but not limited to those, for errors, shortages, imperfections, deficiencies, etc. will not be accepted by Seller unless made within fifteen days after shipment of the materials. Materials rejected must in the original form in which sold with no more than five percent weight loss from any single bundle. Seller must be notified of any weight discrepancies before processing. No credit will be given for processed material. Seller shall, in no event, be liable for charges such as labor charges, freight charges, nor for consequential damages arising from the use of unsuitable or defective materials. In no event shall Seller’s liability exceed the purchase price of the materials. In case materials furnished by Seller are unsuitable or not in accordance with the provisions hereof, Buyer must set aside and hold such materials without further processing until the Seller approves the disposition of the material. Seller shall have the right to either replace any such defective materials or to refund the portion of the purchase price applicable thereto. No materials may be returned to Seller without Seller’s written consent.

6. Accepted orders cannot be cancelled or changed without the written consent of a duly authorized employee of the Seller. No terms or conditions, other than those stated herein, and no agreement or understanding, oral or written, in any way purporting to modify these terms or conditions whether contained in Buyer’s purchase order, shipping release forms, or elsewhere, shall be binding on Seller unless hereafter made in writing and signed by the Seller’s authorized representative. All proposals, negotiations, and representations, if any, made prior, and with reference hereto, are merged herein.

7. Any clause required to be included in a contract of this type by any applicable law or governmental regulation shall be deemed to be incorporated herein.

8. Waiver by Seller or Buyer of any breach of these provisions shall not be construed as a waiver of any other breach.
